  • 1.  Board Member Term Limits

    Our Board of Directors includes our five officers, seven committee chairs, and three council chairs. The officers appoint seven committee chairs, each of whom can serve up to 3 consecutive years in the same chair position. If they max out of their 3 years in one committee chair role, they can be appointed to another chair role, effectively extending their service on the Board for years. Sometimes chairs are reappointed because they provide continuity on the Board; other times, it is a matter of convenience for the officers. 

    Serving as a committee chair is a prerequisite for qualifying as an officer, so seats filled by those who remain as committee chairs (not seeking advancement in leadership) limit the number of eligible officer candidates.

    If your Board of Directors has term limits, could you please share those details and explain how the limit was determined? Our Board is considering changing this policy.

    Hi Tracy,

    For one of my associations, here's what they have.
    1. All positions are elected by the general membership.
    2. Membership size is approximately 2,100 individual members from around the globe
    3. 19 board members total
    4. 7 officers (President, President-Elect, Vice President, Vice President-Elect, Past Vice President, Treasurer, and Secretary)
    5. 12 Directors-at-Large
    6. Term limits are mandated by the Bylaws. Except for the President who serves a 4-year term (1 year as president-elect, 2 years as president, and 1 year as past president), everyone else serves a 3-year term.
    7. Of the 12 Directors-at-Large, one is elected as Early Career Director-at-Large and one is elected as Student Director-at-Large.
    8. Chairs of Board Committees are board members appointed by the President and then affirmed by the Board. Each committee chair serves the chair role to coincide with their entire board term of 3 years.
    It used to be 16 board members; however, they have set out a very ambitious strategic plan this past year so they added 3 board members to lead their strategic initiatives in partnership with the staff.

    Hi Tracy,

    The Boards that I serve on have opted for 4 year terms for Board members with one consecutive reappointment  possible. Many of our client associations have also opted for this combination - although just as many have opted for 2 or 3 year terms. The shorter terms reflect sensitivity to the number of years to which their volunteers are willing or able to commit. The common attribute seems to be eligibility for one consecutive term. In some cases an individual is eligible to return to the board after a  prescribed period of absence. 

    These Boards are trying to balance the need for institutional memory with the desire for fresh thinking. On the Boards with an empowered nominating committee, either open seats or careful consideration of seats that are being vacated enable the selection of candidates who the Board feels would bring a necessary perspective, experience, or expertise to the table.  

    Terms are a separate issue from how board members are selected. However, regardless of the selection /election process,  the need for diverse perspectives among individuals with the competencies required of an association board member is universal.
